2. Intellectual Property Rights

All intellectual property created, developed, or delivered by Primax Advisory Group in the course of an engagement, including frameworks, playbooks, system architectures, and documentation, remains the property of Primax Advisory Group unless otherwise specified in the engagement agreement.

• Clients receive a non-exclusive, non-transferable license to use deliverables internally for the duration of the engagement.
• Any pre-existing materials, methodologies, or tools owned by Primax remain our sole property.
• Unauthorized reproduction, distribution, or modification of our intellectual property is strictly prohibited.
• Feedback provided by the client remains the property of the client; feedback on our materials becomes our property.

3. System Adoption Frameworks

Our solution frameworks are engineered for long-term organizational adoption. Deliverables are structured to ensure integration into existing workflows and institutional capacity for sustained operation.

• We provide documentation and training materials to support team adoption of delivered systems.
• Post-engagement maintenance and support are governed by separate support agreements, if applicable.
• The client is responsible for ensuring operational readiness and staffing to sustain delivered systems beyond the engagement period.

4. Governing Law and Dispute Resolution

These Terms of Service, and any engagement relationship with Primax Advisory Group, are governed by and construed in accordance with the laws of Bangladesh. The principal place of business is Dhaka, Bangladesh, operating as a Global Cross-Border Advisory practice. Any disputes arising under these Terms or any engagement shall be subject to the exclusive jurisdiction of the courts of Dhaka, Bangladesh, except where international commercial advisory matters are governed by applicable international commercial law and agreed-upon arbitration procedures specified in the engagement agreement.

5. Limitation of Liability

To the fullest extent permitted by law, Primax Advisory Group shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising out of or in connection with these Terms or any engagement. Our total aggregate liability for any claim shall not exceed the fees actually paid by the client under the specific engagement agreement giving rise to the claim.
